If the deposit is not received within the 48 hr timeframe the bid will be invalid. The 2011-05, Former, CCGS Point Henry is currently on dry land storage at the following address: INSTITUTE of OCEAN SCIENCES 9860 W.SAANICH RD SIDNEY, BC i) A reserve minimum bid of $90,000 Canadian dollars is placed on 2011-05, Former, CCGS Point Henry and the ship is sold "AS IS, WHERE IS." ii) The vessel's description is based on the best information available to Canadian Coast Guard (CCG) and Crown Assets Distribution (CAD). CCG and CAD make no warranty, expressed or implied, legal, contractual or verbal as to the quantity, kind, character, quality, weight, size, condition, or fitness for any use or purpose. iii) Surveys, audits, GA diagrams, photographs, and other documents may reference items that are no longer on board the vessel, and inventory lists may not be exhaustive. CCG and CAD do not warranty the accuracy of any documents or assessments, internal or external, verbal or written. IT IS THE RESPONSIBILITY OF THE BIDDER TO ASSESS THE SHIP'S CONDITION AND TO VERIFY THE SHIP'S CONTENTS PRIOR TO SUBMITTING A BID. No action or claim may be brought by any person against Canada, CAD, PWGSC, or their designated Custodian Representative for any loss or damage of any kind whatsoever arising from the use of GCSurplus or from the possession, ownership, transportation or use of any Goods purchased through GCSurplus. iv) Security devices, if any, fitted aboard for the lay up of the vessel will be removed and are not included in the sale. v) THE VESSEL WILL BE REGISTERED UNDER THE PURCHASER NAME AND ADDRESS THAT APPEARS ON THE BILL OF SALE. Purchaser name and address are captured from GCSurplus "Registration" information, and Bidders are responsible for ensuring that registration information is accurate. Any amendments to registration must be made prior to placing a bid, as registration information cannot be edited with sales pending. The vessel cannot be registered in both a personal name and a company name. vi) The ownership of the vessel will transfer from Canada to the Purchaser once payment in full is made. The Purchaser is responsible for any loss or damages to the vessel from the time full payment is made to Canada, and the time period required for ownership transfer and removal. It is recommended that the Purchaser purchase applicable insurances for this period. vii) Prior to removal, the buyer must produce a copy of the Certificate of Registry issued by Transport Canada. CCG/CAD will not release the ship without assurance from the Registrar that Transfer of Ownership has been recorded in the Register. Foreign buyers are responsible for deleting the ship from the Register. viii) In order to complete the vessel registration process, GCSurplus must issue a Transport Canada (TC) Bill of Sale to the Purchaser. Once the TC Bill of Sale is issued, the Purchaser has 10 days to properly fill out and return to the Chief Registrar's Office the following: 1. TC Form 3 - Statement of Qualification for Vessel Registration; 2. TC Form 14 - Appointment of Authorized Representative, if necessary; 3. Any other documentation requested by the Chief Registrar's Office; and 4. Pay the appropriate fees ***Note:*** Once payment in full has been made and in order to avoid unnecessary delays in the registration process, the Purchaser must contact the Chief Registrar's Office as soon as possible with regards to the classification of the vessel. Information on obtaining a Certificate of Registry and copies of the forms that must be completed are available at: http://www.tc.gc.ca/eng/marinesafety/oep-vesselreg-registration-menu-2311.htm It takes approximately 40 days to complete the vessel registration process. The Purchaser must therefore ensure that the registration process is finalized within 45 days of the issuance of the marine bill of sale and the Purchaser must take possession of the vessel within 10 days after the Certificate of Registry is issued from the Chief Registrar's Office. Failure to comply with these removal conditions constitutes a breach of contractual obligations pursuant to clause 792.1. Extensions are available only in exceptional circumstances and only with the written consent of CCG. ix) Dry land storage fees at INSTITUTE of OCEAN SCIENCES shall be assumed by the Purchaser 10 days after the Certificate of Registry is issued from the Chief Registrar's Office. - Dry land storage fees are: $100.00 Canadian dollars a day. - After the allotted 10 days, if the purchaser has not removed the vessel, the Purchaser must contact Carolyn Morelli to make necessary arrangements for payment. Any damage to Government of Canada property during the towing operation is the sole responsibility of the Purchaser. The Purchaser is responsible to ensure the vessel is in a seaworthy condition before it is put in the water. |

1. The purchaser certifies that its methods of removal , processing and disposal or export from Canada, as well as the equipment used therefore, will be in conformity at all times with Canadian legislation concerning environmental protection enacted by municipal, regional, provincial and federal authorities. The purchaser undertakes moreover to comply with such legislation. 2. In the case of hazardous electronics destined for disposal or recycling, the purchaser certifies that it meets the conditions of "export" under the Export and Import of Hazardous Waste and Hazardous Recyclable Material Regulations made pursuant to the Canadian Environmental Protection Act, 1999. 3. The purchaser acknowledges that Canada is a party to the Basel Convention and that Canada implements the terms of these international obligations through the Export and Import of Hazardous Waste and Hazardous Recyclable Material Regulations made pursuant to the Canadian Environmental Protection Act, 1999. As a result, the purchaser hereby certifies that electronics bought from Her Majesty will not be exported to China for the purpose of recycling or disposal. |

The Purchaser further acknowledges and agrees that the Vendor has not made, does not make, and shall not be required to provide any representation or warranty with respect to the state or condition of the goods and as to whether the goods meet with any applicable laws or regulations and that the Vendor shall have no liability or obligation with respect to the state or condition of the goods and any deficiencies in law or otherwise with respect thereto, whether or not within the knowledge of the Vendor, its employees, agents, or contractors, any and all of which shall be accepted and assumed by the Purchaser upon completion of this sale transaction. |

Failure of Purchaser to remove all the purchased goods at the specified time in accordance with all applicable terms and conditions will be deemed to be a breach of contractual condition; in which event GCSurplus may at its sole discretion terminate the contract of sale. Additionally, the Purchaser will be subject to paying liquidated damages to GCSurplus for the breach of contractual condition in accordance with the following formula: i) In the event that the purchased goods are finally sold at a lesser price than the winning bid, then the liquidate damages are calculated as the difference between the winning bid and the final selling price of the purchased Goods. ii) In the event the purchased goods remain unsold and finally have to be disposed of by GCSurplus, then the liquidate damages are calculated as the cost of disposal of purchased goods. |

At any time before the completion of the Sale Crown Assets Distribution may, by giving notice in writing to the Buyer, terminate for convenience the Sale or part of the Sale. Once such a notice of termination for convenience is given, the Buyer must comply with the requirements of the termination notice. |

Upon removal of the Vessel, all responsibilities in respect of the Vessel, including but not restricted to pre-removal preparations and removal activities shall rest with the Purchaser. CCG has the right to extend any of the removal dates established upon written notification to the Purchaser. The Vessel is available for pick-up between 08:00 A.M. to 15:00 P.M. PST, Monday to Friday, excluding Canadian statutory holidays. CCG reserves the right to charge a Dry land storage fee of $100.00 Canadian dollars per day for the Vessel, if the Vessel remains @ the INSTITUTE of OCEAN SCIENCE 10 days after the Certificate of Registry is issued from the Chief Registrar's Office. The Purchaser will pay the Dry land storage fee in full prior to the removal of the Vessel to CCG in the form of a certified cheque or bank draft made payable to the Receiver General for Canada. |
